1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Boss Lady Mind™, operated by Viviana Tamai ("Company," "we," "us," or "our"). By accessing our website, booking a strategy call, or engaging our services, you agree to be bound by these Terms in full.

If you do not agree to these Terms, do not use our website or services.

2. Description of Services

Boss Lady Mind™ is a premium AI growth consultancy and Done-With-You system designed for Latina Med Spa, Wellness Spa, and Wellness Clinic owners. Our services include but are not limited to:

• ◆CRM strategy and implementation (Done-With-You)
• ◆Automated client communication and booking optimization
• ◆Growth strategy consulting and CEO coaching
• ◆Custom AI agent setup and management
• ◆Strategy calls and strategic sessions

3. Strategy Call Terms

Strategy calls offered by Boss Lady Mind™ are complimentary consultations intended to assess whether our services are a mutual fit. These calls are not therapy, legal advice, financial advice, or guaranteed outcome sessions. Insights shared during strategy calls are for informational purposes only. We reserve the right to decline service to any prospective client at our sole discretion.

4. Client Responsibilities

As a client or prospective client, you agree to:

• ◆Provide accurate and complete information during onboarding and all interactions.
• ◆Actively participate in the Done-With-You implementation process.
• ◆Honor scheduled appointments or provide at least 24 hours' notice for cancellations.
• ◆Use our services only for lawful business purposes.
• ◆Not resell, reproduce, or redistribute any proprietary systems, frameworks, or materials.

5. Payment Terms

All fees for services will be outlined in a separate service agreement or proposal provided to you prior to engagement. Payments are due as specified in your agreement. We reserve the right to suspend services for non-payment. All sales are final unless otherwise stated in writing. Refund eligibility is determined on a case-by-case basis at our sole discretion.

6. Intellectual Property

All content on our website and within our services — including but not limited to the BOSS AI™ System, El Protocolo BOSS™, frameworks, scripts, templates, designs, copy, and training materials — is the exclusive intellectual property of Boss Lady Mind™ and Viviana Tamai. You may not copy, reproduce, distribute, or create derivative works without express written permission.

8. Limitation of Liability

To the maximum extent permitted by law, Boss Lady Mind™ and Viviana Tamai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, or business opportunities, arising from your use of our services. Our total liability shall not exceed the amount paid by you for services in the three (3) months preceding the claim.

9. SMS Communications Consent

By providing your phone number and checking the SMS consent box on any of our forms, you expressly consent to receive text messages from Boss Lady Mind™ at the number provided. This includes appointment reminders, follow-up messages, and marketing communications. Message frequency varies. Standard message and data rates may apply. Reply STOP to opt out at any time. 10. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary, sensitive, or non-public information shared during the course of our engagement. This obligation survives termination of our agreement.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which Boss Lady Mind™ is registered, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the appropriate courts of that jurisdiction.

12. Modifications

We reserve the right to update these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes constitutes acceptance.
